SEC Investigation and Settlement

As many of you are aware, this week we reached a settlement with the U.S. Securities and Exchange Commission (SEC) in relation to the SEC’s investigation into the Impact Theory Founders Key. The entire SEC Announcement can be found on their website as well as the dissenting judgement of two SEC Commissioners.

As part of the settlement, moving forward, Impact Theory is to remove any royalties from secondary markets. This has been completed.

We also wanted to address our delisting from OpenSea. This week, OpenSea made an independent decision to no longer list ITFK for purchase and sale on its platform. We understand that a number of other platforms continue to list ITFK, such as Blur and Looks Rare.

While not part of the settlement, we will be independently conducting another refund of the Founders Key, more details on the program and how to participate will be released in the coming couple of weeks.

The world of Kyzen is launching in September!

To get ready, we took the snapshot of keyholders on 8.24.23 and those eligible keyholders will receive their airdrops from 9.8.23, so long as you’ve registered to IMX.

The groups eligible for a Kyzen airdrop are:

• Legendary Holders, who will receive a surprise!
• Keyholders who held their key at the phase 1 snapshot on April 13 but weren’t connected to IMX. You’ll receive a Soul along with the K.R8Z you’d have received from burning your Jump Tokens.
• Keyholders that purchased a key after the phase 1 snapshot, will be airdropped a Soul so that you can mint your Avatar.
